Terms and Conditions

This document outlines the terms and conditions under which Culture Media & Supplies, Inc., located in Oswego, IL, provides its services as a manufacturer of standard and custom prepared culture media for quality assurance and microbiology. We serve a wide range of markets including education, food and beverage, chemical, water and wastewater, brewing, medical, and pharmaceutical industries.

Product Availability:

Culture Media & Supplies, Inc. reserves the right to discontinue any product or change specifications without prior notice. We make every effort to maintain the availability of our products, but we do not guarantee product availability.

Orders and Pricing:

Orders are subject to acceptance by Culture Media & Supplies, Inc. The prices listed on our website or quoted by our sales staff are subject to change without notice. All prices are exclusive of any applicable taxes, shipping, or handling charges. 

Once an order is placed with and accepted by the Seller, it can only be cancelled with the Seller’s consent and upon terms that will indemnify the Seller against any loss.

Payment Terms:

Payment terms are specified on the invoice and are due and payable within the time specified. Culture Media & Supplies, Inc. reserves the right to charge interest on late payments at the rate of 1.5% per month or the maximum rate allowed by law, whichever is less.

Shipping and Delivery:

Culture Media & Supplies, Inc. will make every effort to ship orders within the specified lead time. Shipping and delivery dates are estimated and not guaranteed. Culture Media & Supplies, Inc. is not responsible for any delays in delivery due to unforeseen circumstances such as poor weather conditions, natural disasters, strikes, or supplier delays.

The shipping terms are “F.O.B. Destination, freight prepaid and added.” This means that the Seller is responsible for paying the freight charges and adding them to the invoice for the Buyer.

The shipping terms for freight collect and third-party orders are “F.O.B. Origin, freight collect.” This means that the Buyer is responsible for paying and bearing the freight charges. Additionally, the Buyer assumes the title and risk of loss while the goods are in transit. The Buyer is entitled to route the shipment, and any claims for loss or damage attributable to the carrier are the Buyer’s responsibility.

Warranty:

Culture Media & Supplies, Inc. warrants that all products will be free from defects in materials and workmanship for a period of 30 to 90 days, depending on product expiration dates. However, Culture Media & Supplies, Inc. does not warrant that the products will meet the specific requirements of the customer. This warranty does not apply to any products that have been subjected to misuse, abuse, neglect, alteration, or accident.

Condition of Use:

Media purchased will only be used for in vitro laboratory purposes.

Limitation of Liability:

Culture Media & Supplies, Inc. shall not be liable for any indirect, incidental, special, or consequential damages arising from the sale or use of any product. In no event shall Culture Media & Supplies, Inc.’s liability exceed the purchase price of the product.

Dispute Resolution:

Any disputes arising under or in connection with these terms and conditions shall be resolved in accordance with the laws of the state of Illinois.

Entire Agreement:

These terms and conditions constitute the entire agreement between Culture Media & Supplies, Inc., and the customer, and supersedes all prior negotiations, representations, and agreements, whether written or oral. No amendment to these terms and conditions shall be binding unless made in writing and signed by both parties.
